Corporate lawyers from Walker Morris have advised on the sale of Voyage Care Group, a leading UK provider of specialist care services to adults with complex, high acuity needs.
Founded in 1988, Voyage Care is one of the largest specialist care platforms in the UK supporting 3,500 individuals across 600 sites. It provides specialist care and support to people with learning disabilities, autism, acquired brain injuries, and other complex needs across the UK. A large majority of those supported by the Company typically require high levels of support throughout their lives.
The Walker Morris team has worked closely with the Voyage Care management team over a number of years. In 2014 Walker Morris provided legal advice to the management team in relation to the secondary management buy-out of Voyage by a consortium of Partners Group, Duke Street Capital and Tikehau Capital from Hg Capital.
In 2019 Walker Morris provided legal advice to management on a restructuring of their incentivisation plan which involved a restructuring of the group balance sheet and consequent recasting of all debt and investment documentation.
In January 2022 Wren House Infrastructure backed the tertiary management buy-out of Voyage and Walker Morris once again provided legal advice to the management team in relation to a partial realisation of their investment and roll over reinvestment into the group.
